Public Offer
1. General Provisions
1.1. Individual Entrepreneur Kim Nikolay Illarionovich, TIN: 528299509, address: 4 Uzumzor, Mirzo-Ulugbek district, Tashkent (hereinafter, the “Contractor”), offers any person with legal capacity (hereinafter, the “User”) to enter into an agreement for the use of the ijoda.uz platform (hereinafter, the “Platform”) on the terms of this offer.
1.2. This offer is public in accordance with the Civil Code of the Republic of Uzbekistan.
1.3. Acceptance of the offer is ticking the consent box in the window shown when entering the Platform or when registering on the Platform, with an indication of consent to the offer and the Privacy Policy. The agreement is deemed concluded from the moment of acceptance.
2. Definitions
- Creator means a User who posts a profile and portfolio and provides creative services: photo and video shooting, editing, SMM, modeling services, etc.
- Client means a User who searches for creators, posts tasks and places orders.
- Direct deal means an arrangement between a Client and a Creator without the Contractor’s participation in payments.
- Secure deal means a deal in which the Client’s payment passes through the Contractor and is transferred to the Creator after the work is delivered.
- Verification means a review of a Creator by the Contractor, following which a mark (checkmark) appears in the profile.
3. Subject of the Agreement
3.1. The Contractor provides the User with access to the Platform: the creator catalog, the task feed, the personal account, tools for orders and responses, and notifications via the Telegram bot.
3.2. The Platform helps Clients and Creators find each other. The Contractor does not provide creative services itself and, except in the case of a secure deal, is not a party to agreements between Users.
4. Registration and Account
4.1. A Telegram account is required to register. Sign-in is performed with a one-time code sent by the @ijoda_bot bot.
4.2. The User undertakes to provide accurate information and not to transfer access to the account to third parties. Actions performed from the account are deemed to be the User’s actions.
4.3. A single User may hold both the Creator and the Client roles in one account.
5. Direct Deal
5.1. Using the Platform to search for creators and for direct deals is free of charge; the Contractor’s commission is 0%.
5.2. The Client and the Creator agree on the terms of work, deadlines, price and payment procedure between themselves.
5.3. The Contractor bears no liability for the conduct of the shoot, the quality, deadlines and result of the work, or for payments between Users in a direct deal.
6. Secure Deal
6.1. A secure deal is available only with verified Creators who are registered as individual entrepreneurs and have a business bank account.
6.2. The Client’s payment is held by the Contractor until the work is delivered and, after confirmation, is transferred to the Creator’s business bank account. The Contractor’s fee is 20% of the deal amount. After the Client’s request, the Contractor’s operator contacts the Client and then the Creator and manages the deal.
6.3. The procedure for payment, delivery and acceptance of work, refunds and dispute resolution for secure deals is established by separate rules, which are published on the Platform before the service is launched and form part of this offer.
7. Verification
7.1. A Creator may submit a verification request in the personal account. The Contractor invites the Creator to a practical exam conducted by the Contractor’s lead photographer, reviews the portfolio and actual work, and may request identity confirmation. A mandatory condition of verification is the Creator’s registration as an individual entrepreneur and having a business bank account.
7.2. The decision on verification is made by the Contractor. The Contractor has the right to refuse verification or revoke it in the event of a breach of the offer or complaints from Clients.
7.3. The terms of verification, including its cost, if introduced, are published on the Platform.
8. User Obligations
The User undertakes not to post:
- other people’s work under their own name, or materials that infringe copyright or other rights;
- explicit, offensive or unlawful materials;
- false information, spam or advertising of third-party services;
- personal data of third parties without their consent.
The User also undertakes not to use the Platform for fraud and not to attempt to disrupt its operation.
9. Intellectual Property
9.1. The rights to photos, videos and other portfolio materials remain with the User or the rights holder.
9.2. By posting materials, the User confirms that they are entitled to publish them and grants the Contractor a royalty-free, non-exclusive right to display them on the Platform and its official channels to promote the User’s profile for the duration of their placement.
10. Liability
10.1. The Platform is provided “as is”. The Contractor strives to ensure its uninterrupted operation but does not guarantee the absence of failures.
10.2. The Contractor is not liable for the content of Users’ profiles, tasks and messages, or for the results of direct deals.
10.3. The Contractor has the right to hide a User’s profile or task, or to block a User’s account, in the event of a breach of the offer or the law.
11. Term and Amendment of Terms
11.1. The agreement is valid from the moment of acceptance until the account is deleted.
11.2. The User may stop using the Platform at any time and request deletion of the account via @ijoda_bot.
11.3. The Contractor may amend the offer by publishing a new version on this page. The new version takes effect upon publication.
12. Disputes and Governing Law
12.1. Relations between the parties are governed by the legislation of the Republic of Uzbekistan.
12.2. Disputes are resolved through negotiations and, if no agreement is reached, in court at the Contractor’s location.
12.3. This document is made in Russian, Uzbek and English. In case of discrepancies, the Russian version prevails.
